Formation of contract under French and English law

Résumé
This dissertation aims to describe the application of juridical mechanisms ruling the formation of a contract to situations where a contract is "formed" via an Artificial Intelligence. High Frequency Trading and automatical ordering consumer-services solutions are two examples of the automation of decision-making relating to contracting which rise concerns that French and English law seem to adress differently. The fundamental and central notion of "willingness" (best translated in English as "intention") would be challenged by an artificial intelligence (AI) endowed with intention, but the Law, undoubtedly values human intention exclusively. Some juridical theories enable enforcement of intentionnality that however exists. A reflexion on the very nature of AI allows to find solutions when an anthropomorphistic vision of it prevents it.
Le présent mémoire a pour objet de décrire l'application des mécanismes juridiques régissant la formation du Contrat aux cas de contrats « formés » par l'intermédiation d'une intelligence artificielle. Du trading haute-fréquence en passant par des solutions de commande automatique au service du consommateur, l'automatisation de la décision de contracter soulève des interrogations que le droit français et le droit anglais semblent régler différemment. La notion centrale et fondamentale de « volonté » serait remise en cause par une IA qui en serait capable, mais le droit ne donne incontestablement de valeur qu'à la volonté humaine. Certaines constructions juridiques permettent cependant de recevoir une volonté malgré tout résiduelle. Une réflexion sur la nature de l'intelligence artificielle permet de résoudre certaines questions otages d'une vision anthropomorphiste de l'intelligence artificielle (IA.)
